Arbitration in Bulgaria: legal analysis and 2025 changes
Full analysis of arbitration in Bulgaria after the 2025 changes: the new law, the register, fees and Supreme Court of Cassation practice.
With the amendments of July 2025 (State Gazette (ДВ) issue 63/2025), the International Commercial Arbitration Act (ЗМТА) was renamed the Arbitration Act (ЗА), a mandatory register of arbitration institutions was introduced, and so was a new chapter on administrative penal liability. These changes make 2025-2026 a turning point for arbitration practice in Bulgaria.
This analysis covers the legal framework of arbitration proceedings, the procedure from the arbitration agreement to enforcement of the award, the grounds for setting aside under Art. 47, a comparison of costs with the state courts, and the practical consequences of the 2025 changes.

What arbitration is: legal definition and types
Arbitration is a voluntary, private way of resolving disputes in which the parties agree that the dispute will be decided by one or more persons (arbitrators) instead of a state court. It rests on the principle of party autonomy in civil procedure: the parties’ freedom to choose the body that will resolve the dispute.
| Criterion | Permanent (institutional) | Ad hoc |
|---|---|---|
| Organisation | Operates at a permanent institution (e.g. the Court of Arbitration at the Bulgarian Chamber of Commerce and Industry (БТПП)) | Formed for a specific dispute, with no institution |
| Rules | The rules of the institution apply | The parties determine the procedure |
| Administration | The institution administers the proceedings | The parties and the arbitrators organise everything |
| Costs | Fixed tariffs of the institution | Lower, but unpredictable |
| Legal basis | Art. 4(1) ЗА | Art. 4(2) ЗА |
Under § 3 of the Transitional and Final Provisions of the ЗА, arbitration is domestic when both parties have their residence or seat in Bulgaria, and international when at least one of the parties has its seat or residence abroad.
Legal framework: the Arbitration Act (formerly the ЗМТА)
The law was adopted as the International Commercial Arbitration Act (ЗМТА) by State Gazette (ДВ) issue 60/1988. After many amendments (1993, 1998, 2001, 2002, 2017), State Gazette issue 63/2025 renamed the law the Arbitration Act (ЗА) and added two new chapters.

Title (amended, State Gazette issue 63/2025)
Official Bulgarian text
„Закон за арбитража. Обнародван, ДВ бр. 60 от 05.08.1988 г. Последно изменение: ДВ бр. 63/2025, в сила от 01.08.2025 г. Предишно наименование: Закон за международния търговски арбитраж (ЗМТА).“

The first arbitration law in Bulgaria, oriented towards international commercial arbitration
2017: Requirements for arbitrators
New Art. 11(3): higher education, 8 years' professional experience, no criminal convictions. Tacit consent (Art. 7(3))
1 August 2025: Arbitration Act

The link with the Civil Procedure Code (ГПК) is set out in Art. 19 ГПК, which allows the parties to a property dispute to agree on resolving it by arbitration, but excludes certain categories of disputes.
Arbitration agreement: form and content
The arbitration agreement is the foundation of arbitration proceedings. Without a valid agreement, the arbitral tribunal has no competence to hear the dispute.
Arbitration Act (ЗА)
Art. 7(1)
Official Bulgarian text
„Арбитражно споразумение е съгласието на страните да отнесат за арбитражно решаване всички или някои спорове, които могат да възникнат или са възникнали между тях относно определено договорно или извъндоговорно правоотношение.“
The agreement may take two forms: an arbitration clause within the main contract or a separate arbitration agreement. In both cases, written form is required (Art. 7(2)
Arbitration Act (ЗА)
Art. 7(3)
Official Bulgarian text
„Смята се, че има арбитражно споразумение, когато ответникът приеме писмено или чрез изявление, записано в протокола на арбитражното заседание, да участва в арбитражното производство, без да оспори компетентността на арбитража.“
A key principle is the autonomy of the arbitration clause (Art. 19(2) ЗА): the nullity of the main contract does not automatically mean the nullity of the arbitration agreement.
Arbitration Act (ЗА)
Art. 19(2)
Official Bulgarian text
„Арбитражното споразумение, включено в договор, е независимо от другите негови уговорки. Нищожността на договора не означава сама по себе си недействителност и на съдържащото се в него арбитражно споразумение.“

Important
Forming the arbitral tribunal
The composition of the arbitral tribunal is determined by agreement of the parties and, failing that, under the rules of the law.
Arbitration Act (ЗА)
Art. 11
Official Bulgarian text
„Когато страните не са определили броя, арбитрите са трима. Арбитър може да бъде дееспособен пълнолетен гражданин, който не е осъждан за умишлено престъпление от общ характер, има висше образование, не по-малко от 8 години професионален стаж и притежава високи морални качества.“
Forming the arbitral tribunal (with three arbitrators)
The claimant chooses an arbitrator
In the statement of claim or within a period set by the institution
The respondent chooses an arbitrator
Within 30 days of receiving the notice (Art. 12 ЗА). If the respondent does nothing, the arbitrator is appointed by the Chair of the БТПП
The two arbitrators choose a chair
Within 30 days. If they cannot agree, the chair is appointed by the Chair of the БТПП
Check for challenges
Each party may ask for an arbitrator to be challenged where there is justified doubt about impartiality (Art. 14-16
Constituting the arbitral tribunal
The proceedings continue once the tribunal has been finally formed
Arbitration proceedings: the course of the case
Arbitration proceedings begin with the filing of a statement of claim (Art. 23 ЗА). A basic principle is equality of the parties (Art. 22): each party has an equal opportunity to present its arguments and evidence.
The course of the arbitration proceedings
Statement of claim
The claimant files a statement of claim setting out the facts, the legal grounds and the evidence (Art. 27
Respondent's reply
The respondent presents its position on the claim. It may bring a counterclaim (Art. 28
Oral hearing / written proceedings
The arbitral tribunal decides the form of the proceedings. The parties may ask for an oral hearing
Gathering evidence
The arbitral tribunal assesses the admissibility and relevance of the evidence
Closing the proceedings
The arbitral tribunal declares the examination on the merits closed
Giving the award
The award is given by majority (Art. 39 ЗА). With a sole arbitrator, alone
As to the applicable substantive law, Art. 38 ЗА provides that the arbitral tribunal decides the dispute according to the law chosen by the parties. If the parties have not made a choice, the arbitral tribunal applies the law it finds most appropriate. With the express consent of the parties, the arbitral tribunal may decide the dispute on the basis of fairness (ex aequo et bono).
The arbitral award and setting aside under Art. 47
The arbitral award is final and has the force of a court judgment that has entered into force. The only control mechanism is the action for setting aside before the Supreme Court of Cassation (ВКС), regulated in Art. 47 ЗА. It should be stressed that this is not an appeal on the merits but a review of lawfulness.
Arbitration Act (ЗА)
Art. 47(1)
Official Bulgarian text
„Арбитражното решение може да бъде отменено от Върховния касационен съд, когато: 1) страната, която го иска, докаже, че е била недееспособна; 2) арбитражното споразумение е нищожно; 3) не й е било надлежно съобщено за назначаването на арбитър или не е могла да вземе участие в производството поради причини извън нейната воля; 4) решението се отнася до спор, непредвиден в арбитражното споразумение; 5) съставът на арбитражния съд или процедурата не са съобразени със споразумението на страните.“
Arbitration Act (ЗА)
Art. 47(2)
Official Bulgarian text
„ВКС отменя решението и когато намери, че спорът не подлежи на арбитражно решаване или че решението противоречи на обществения ред на Република България.“
| Ground | Nature | Burden of proof |
|---|---|---|
| Lack of legal capacity (para. 1, item 1) | Personal ground | On the claimant in the setting-aside action |
| Void agreement (para. 1, item 2) | Defect in the arbitration clause | On the claimant in the setting-aside action |
| Breach of the right of defence (para. 1, item 3) | Procedural breach | On the claimant in the setting-aside action |

| Wrong composition/procedure (para. 1, item 5) | Procedural breach | On the claimant in the setting-aside action |
| Non-arbitrability (para. 2) | Checked of the court's own motion | The ВКС checks ex officio |
| Conflict with public policy (para. 2) | Checked of the court's own motion | The ВКС checks ex officio |
3 months
Time limit for bringing an action to set aside an arbitral award before the ВКС (Art. 48 ЗА)
Enforcement of arbitral awards
Domestic enforcement of arbitral awards is regulated in Art. 405(3) ГПК. The Sofia City Court (СГС) is competent to issue a writ of execution (изпълнителен лист) on the basis of an arbitral award.
For international recognition and enforcement, the key instrument is the 1958 New York Convention on the recognition and enforcement of foreign arbitral awards, to which Bulgaria is a party. Arts. 51-52 ЗА regulate the recognition and enforcement of foreign arbitral awards, and the grounds for refusal are analogous to those under the New York Convention.
Fees and costs: arbitration versus the state court
One of the main reasons for choosing arbitration is economic efficiency, especially for high-value claims. The arbitration fee in institutional arbitration (e.g. the Court of Arbitration at the БТПП) is degressive, that is, it falls as a percentage as the value of the claim rises. In the state court the fees are proportional.

| Criterion | Arbitration | State court |
|---|---|---|
| Number of instances | Single instance | Three instances (first, appeal, cassation) |
| Duration | 3-12 months | 2-5 years with three-instance proceedings |
| Fees for a claim of BGN 100,000 | ~BGN 3,000-4,000 (degressive tariff) | ~BGN 8,000 + lawyers' fees in 3 instances |
| Publicity | Confidential | Public (open hearings) |
| Choice of the deciding body | The parties choose the arbitrators | Random allocation of the judge |
| Appeal | Only an action for setting aside (Art. 47 ЗА) | Full appeal on the merits |
| Enforcement abroad | New York Convention (170+ countries) | Bilateral/multilateral treaties |
The 2025 changes: the Register and oversight
The amendments in State Gazette issue 63/2025 (in force from 1 August 2025) introduced two new mechanisms that substantially change the landscape of arbitration practice in Bulgaria.
Caution
Important
Practical steps for lawyers after the 2025 changes
Check whether the arbitration institution in your dispute is entered in the register of the Ministry of Justice (МП)*
An unregistered institution cannot validly administer proceedings
Update the arbitration clauses in new contracts*
Name a specific institution that is entered in the register
Review pending arbitration agreements
If the institution does not register, the clause may become unenforceable
Read the transitional provisions on the deadlines for bringing arrangements into compliance*
Watch for secondary legislation (rules on the register)
An ordinance from the Minister of Justice is expected
* Mandatory documents
Practical advice when choosing arbitration
The choice between arbitration and a state court is a strategic decision that should take into account the value of the dispute, the need for confidentiality, the speed wanted and the possibility of international enforcement.
When arbitration is more advantageous
High value of the claim (over BGN 50,000): the degressive tariff is better than the proportional 4%+2%+2%
Need for a quick decision: a single instance instead of 3-5 years
Confidentiality of the dispute: trade secrets, reputational issues
An international element: the New York Convention ensures enforcement in 170+ countries
Specialised subject matter: the parties can choose arbitrators with expertise in the particular field
Reluctance to have publicity: arbitration proceedings are confidential
