Bulgaria Accountancy Act 2026: annual accounts and changes

Pravko6 July 202611 min

Analysis of Bulgaria's Accountancy Act: enterprise categories, annual financial statements, preparers, filing deadlines, sanctions and the 2026 changes.

The Accountancy Act (Закон за счетоводството, ЗСч) is the backbone of financial reporting in Bulgaria, but the text in force, promulgated in State Gazette (ДВ) issue 95 of 8 December 2015, has already been amended dozens of times. In 2026 a new bill is expected to transpose Directive (EU) 2026/470, which narrows the scope of the sustainability report, and at the same time the changeover to the euro affects the preparation of annual financial statements. This article offers a systematic map of the act for accountants, tax and corporate lawyers, financial controllers and compliance specialists, together with a precise distinction between what is really changing now and what is still at the draft stage.

❓What does the Accountancy Act regulate and which enterprises does it cover?

✅The ЗСч regulates the requirements for current accounting, accounting documents, stocktaking, the applicable accounting framework and financial statements. It covers a wide range of enterprises under Art. 2, including traders, non-profit legal entities (ЮЛНЦ), budget organisations, as well as social security funds within the meaning of the Social Insurance Code (КСО).

What the Accountancy Act regulates: subject matter and scope

The current ЗСч transposes Directive 2013/34/EU on annual financial statements and replaces the repealed Accountancy Act of 2001. This change matters in practice: when you search legal databases, the old 2001 version often comes up, and it should not be used for current citations. The authoritative text is the one promulgated in State Gazette (ДВ) issue 95 of 2015.

Accountancy Act (ЗСч)

Art. 1

The subject matter also covers the requirements for financial statements and their publicity. The quotation presents the main points of Art. 1.

Official Bulgarian text

„Този закон урежда: 1. изискванията към текущото счетоводно отчитане и счетоводните системи, счетоводните документи и инвентаризацията; 2. приложимата счетоводна база за финансово отчитане.“

The circle of obliged persons is wide. The notion of enterprise within the meaning of the act goes beyond the classic trader and includes specific entities such as social security funds, which in practice is an often underestimated detail when determining the applicable reporting regime.

Accountancy Act (ЗСч)

Art. 2

Social security funds fall within the scope by virtue of the amendment in State Gazette (ДВ) issue 19/2021. The list in Art. 2 is wider and includes traders, non-profit legal entities and budget organisations.

Official Bulgarian text

„За целите на този закон предприятия са, наред с другото: фондовете за извършване на плащания и осигурителните каси по смисъла на Кодекса за социално осигуряване.“

Structurally, the act is organised in nine chapters, from the general provisions to the administrative penal provisions. Knowing this architecture makes it quick to find your way around: the categories of enterprises are in Chapter Two, financial statements and the accounting framework in Chapters Three and Four, and the sanctions in Chapter Nine.

Accountancy Act (ЗСч)

promulgation and structure

The provisions of Art. 48 to 52 enter into force with deferred effect from 1 January 2017. The nine chapters follow the logic of general provisions, categories, statements, framework, publicity, audit, sustainability, sanctions.

Categories of enterprises and groups (Chapter Two)

Categorisation is the first analytical step in any accounting regime, because the scope of the financial statements, the relief available and the obligation for an independent financial audit depend on it. The act distinguishes micro, small, medium and large enterprises by three indicators.

Accountancy Act (ЗСч)

Art. 19

What matters is not exceeding at least two of the three indicators. Similar rules apply to the categories of groups of enterprises.

Official Bulgarian text

„Предприятията се категоризират като микро, малки, средни и големи. Категорията се определя по три показателя: 1. балансова стойност на активите; 2. нетни приходи от продажби; 3. средна численост на персонала. Предприятието попада в дадена категория, когато не надвишава най-малко два от трите показателя за нея.“

Determining the categoryTwo of three indicatorsTwo of three indicators

The significance of the category for the scope of reporting

Particular attention should be paid to the rule on changing category, which is a common mistake when citing the act. The change does not occur when the indicators are exceeded once. The authoritative provision is Art. 20, not Art. 19, and it requires a lasting deviation for two consecutive reporting periods.

Accountancy Act (ЗСч)

Art. 20

The two-period rule is in Art. 20, not Art. 19. The category changes from the start of the third period, which protects against abrupt reclassifications after a one-off fluctuation.

Official Bulgarian text

„Промяна в категорията по чл. 19 се извършва, когато предприятие за последните два отчетни периода престане да отговаря на два от трите показателя за съответната категория. Промяната се прилага от началото на следващия отчетен период.“

Financial statements and the applicable accounting framework (Chapters Three and Four)

The content of the annual financial statements and the applicable accounting framework depend directly on the category of the enterprise. Micro and small enterprises enjoy significant relief in scope, while for a defined group of entities the application of the International Accounting Standards is mandatory.

Accountancy Act (ЗСч)

Art. 34

The National Accounting Standards (НСС) are the default framework. IFRS (МСФО) apply mandatorily to credit and financial institutions and other enterprises named in the act.

Official Bulgarian text

„Предприятията съставят финансовите си отчети на базата на Националните счетоводни стандарти. На базата на Международните счетоводни стандарти съставят финансовите си отчети кредитните и финансовите институции и другите изрично посочени предприятия.“

The logic of preparing the annual financial statements (ГФО)

1

Determine the category

Check the three indicators under Art. 19 and the rule on changing category under Art. 20.

2

Choose the accounting framework

НСС by default, or IFRS (МСФО) for the institutions under Art. 34.

3

Determine the components

A full or abridged statement depending on the relief for the category.

4

Prepare and sign

The statement is prepared by a person under Art. 17 and approved by the manager.

5

Publicity

Filing for publication within the deadline under Art. 38(1).

Preparers of financial statements: requirements

The preparer of financial statements is subject to a special regime. The act sets requirements at the same time for education obtained, for professional experience and for the absence of certain convictions, and it separates who prepares the statement from the conditions that person must meet.

Accountancy Act (ЗСч)

Art. 17 to 18

Art. 17 determines who may prepare financial statements, and Art. 18 regulates the requirements for education, experience and the absence of convictions.

Official Bulgarian text

„Физическите лица, които съставят финансови отчети, трябва да отговарят на следните изисквания: 1. придобита минимална степен на образование и съответстващ на нея стаж; 2. да не са осъждани за престъпления по глава пета и по раздел I на глава шеста от Наказателния кодекс.“

Checklist: eligibility of the preparer

Minimum level of education obtained under Art. 18*

Professional experience corresponding to the education*

No conviction under Chapter Five and Chapter Six, Section I of the Criminal Code (НК)*

Compliance with the conditions under Art. 17 on the form of preparation*

* Mandatory

Responsibility for preparing and publishing the statement on time stays with the manager of the enterprise. Outsourcing the accounting to an external person or a specialised enterprise does not shift this responsibility, which is essential when assessing administrative violations under Chapter Nine.

Publicity of the ГФО: deadlines for filing with the Commercial Register

The publicity of the annual financial statements is achieved by applying for publication in the relevant register. The general deadline is 30 September of the year following the reporting period, and the addressee of the application depends on the type of obliged person.

Accountancy Act (ЗСч)

Art. 38(1)

Traders apply to the Commercial Register (ТР), non-profit legal entities to the Register of Non-Profit Legal Entities (ТРРЮЛНЦ), and other enterprises in the manner provided by the act. The deadline is uniform, 30 September.

Official Bulgarian text

„Предприятията публикуват годишния си финансов отчет, като: всички търговци заявяват за обявяване в търговския регистър в срок до 30 септември на следващата година; ЮЛНЦ - в регистъра на ЮЛНЦ; останалите предприятия - по определения ред.“

30 September

Deadline for applying for publication of the ГФО for the previous year (Art. 38(1))

14 days

Time limit for filing again after a refusal under Art. 22(5) of the Commercial Register and Register of Non-Profit Legal Entities Act (ЗТРРЮЛНЦ), for the statement to be treated as filed on time (Art. 38(2))

The provision of Art. 38(2) is often wrongly read as a general grace period. That is not so. It regulates a specific situation: where the statement was initially applied for on time, a refusal under Art. 22(5) ЗТРРЮЛНЦ followed, and a new application was filed within 14 days of the refusal coming into force.

Accountancy Act (ЗСч)

Art. 38(2)

The rule is not a general grace period. It applies only after a refusal under Art. 22(5) ЗТРРЮЛНЦ and a new application within the 14-day period.

Official Bulgarian text

„Когато финансовият отчет първоначално е заявен за обявяване в срока по ал. 1 и е постановен отказ по чл. 22, ал. 5 от ЗТРРЮЛНЦ, и в 14-дневен срок от влизането му в сила е подадено повторно заявление, финансовият отчет се смята за подаден в срок.“

Missing the deadline under Art. 38 triggers Art. 74

The sanction that actually goes with the deadline under Art. 38 is the one under Art. 74 for failing to publish the ГФО, not the general offence under Art. 77. This distinction is key when assessing the client’s risk, because the amount of the pecuniary sanction under Art. 74 is tied to net sales revenue.

The sustainability report and the changes in 2026

The sustainability report is the area with the most movement in 2026 and at the same time the area where it is easiest to mix up the law in force, the directive adopted at EU level and the Bulgarian bill that has not yet been adopted. A precise distinction here has practical value.

The current rules already transpose Directive (EU) 2022/2464 (CSRD) with amendments promulgated in State Gazette (ДВ) issue 79/2024. They introduce the sustainability report in Art. 41 and the mandatory assurance engagement by registered auditors under Art. 37а, initially with a limited level of assurance.

Accountancy Act (ЗСч)

Art. 37а

The engagement is initially with a limited level of assurance. The rules result from the transposition of the CSRD by State Gazette (ДВ) issue 79/2024.

Official Bulgarian text

„Отчетите за устойчивостта подлежат на задължителен ангажимент за изразяване на сигурност по устойчивостта, който се извършва от регистриран одитор.“

At European level the change is already a fact. Directive (EU) 2026/470, known as Omnibus I, has been adopted and is in force. It narrows the scope of the sustainability reporting requirements. It is important, however, to keep in mind the difference between adoption at EU level and national transposition.

The full text of the directive is available in the Official Journal of the EU. It amends Directives 2006/43/EC, 2013/34/EU, (EU) 2022/2464 and (EU) 2024/1760, and the deadline for transposition by the Member States is 19 March 2027.

Bulgarian transposition is still a draft, not a law

At present the Bulgarian transposition of Directive (EU) 2026/470 is at the stage of a preliminary draft amending act (ЗИД) to the ЗСч, not an adopted law. For this reason, national numerical thresholds should be described as pending transposition, not as law in force. When preparing an opinion, check the version of the ЗСч in force on the date of the consultation.

The draft provides for a numerical threshold for the obligation to publish a sustainability report. According to the position of an employers’ organisation on the draft, only enterprises that exceed both 1,000 employees on average and 450 million euro in net revenue at the same time would be obliged, with the thresholds introduced in Art. 39(2) and Art. 41(1).

Accountancy Act (ЗСч) (draft amending act)

Art. 39(2) and Art. 41(1)

The thresholds are cumulative: both indicators must be exceeded at the same time. The provision is in a draft, not in force. Art. 39 and Art. 41 in force determine the scope by category, without numerical values.

Official Bulgarian text

„Според проекта задължени са само предприятията, които едновременно надвишават 450 000 000 евро нетни приходи от продажби и 1000 души средна численост на персонала. Прагът се въвежда в чл. 39, ал. 2 и чл. 41, ал. 1.“

The thresholds for enterprises from third countries are a separate question. They are not regulated in Art. 39 or Art. 41 but in Art. 52б, which is a common mistake when citing the act. Here too we are talking about a draft, not law in force.

Accountancy Act (ЗСч) (draft amending act)

Art. 52б

The thresholds for enterprises from third countries are systematically placed in Art. 52б, not in Art. 39 or Art. 41. The provision is part of the draft.

Official Bulgarian text

„В чл. 52б прагът от 150 млн. евро се заменя с 450 млн. евро за групата, а прагът от 40 млн. евро за клон или дъщерно предприятие се заменя с 200 млн. евро.“

Sanctions for violations (Chapter Nine)

The administrative penal provisions in Chapter Nine are often cited inaccurately, with heavy sanctions attributed to the wrong offences. Below is a systematic summary of the actual regime in the version in force, with all amounts in leva (BGN). Euro amounts should not be reproduced from memory, because the amounts in the act in force are denominated in leva.

Sanctions under Chapter Nine of the ЗСч (version in force)

Art. 77(1): general offence for violations of the act

This is the real general, catch-all offence.

fine of BGN 200 to 1,000; sanction of BGN 300 to 2,000

Art. 74: failure to publish the ГФО within the deadline under Art. 38

The pecuniary sanction (имуществена санкция) is not less than BGN 200.

fine of BGN 200 to 3,000; 0.1 to 0.5% of net revenue

Art. 68: violation of Art. 9 (accounting fraud)

Recording non-existent or fictitious transactions.

fine of BGN 5,000 to 15,000; sanction of BGN 10,000 to 20,000

Art. 68а: violation of Art. 9 for the purpose of bribery (new, State Gazette (ДВ) issue 61/2025)

An anti-corruption offence; the sanction is between BGN 100,000 and 10,000,000.

fine of BGN 20,000 to 200,000; up to 5% of net revenue

Art. 72: sustainability report (omission or wrong format)

The maximum sanction on the enterprise is BGN 15,000.

fine of BGN 1,000 to 3,000; sanction of BGN 2,000 to 15,000

Art. 75: failure to commission an assurance engagement

Relates to the engagement under Art. 37а.

fine of BGN 500 to 5,000; sanction of BGN 2,000 to 10,000

Total

Different offences depending on the violation

The amounts are as in the consolidated version in force, last amended by State Gazette (ДВ) issue 61/2025. Check the current text on the date of application.

Do not confuse the general offence with the sanctions for fraud

The amount of BGN 5,000 to 15,000 is not a sanction for a general violation of the act but for a violation of Art. 9 under Art. 68, that is, for recording non-existent transactions in the accounts. Likewise, the sanction of BGN 20,000 to 200,000 under Art. 68а is an anti-corruption offence, not a sanction for the sustainability report. The actual sanctions for the sustainability report are under Art. 72 and Art. 75 and reach up to BGN 15,000 for the enterprise.

Accountancy Act (ЗСч)

Art. 77(1) and repetition under Chapter Nine

Art. 77(1) is the general offence. Repetition leads to a double amount and applies universally to Chapter Nine. Under § 1, item 16 of the Additional Provisions, a violation is a repeat one if committed within one year of a penal decree that has come into force.

Official Bulgarian text

„За нарушения на закона се налага глоба от 200 до 1000 лв., а на предприятието - имуществена санкция от 300 до 2000 лв. При повторно нарушение глобата или имуществената санкция се налага в двоен размер.“

For tax and corporate analysis the ЗСч is rarely considered in isolation. The accounting financial result is the starting point for corporate taxation, so it is useful to compare it with the regime under the Corporate Income Tax Act (ЗКПО). For wider context see the analysis of the 2026 changes to the ЗКПО, and for the compliance aspects of financial control the legal analysis of the Public Procurement Act is also relevant.
